1. Acceptance & Binding Agreement
By accessing or using CruX HR (“Platform”), you irrevocably agree to these Terms & Conditions (“Terms”). Non-compliance grants CruX HR the right to terminate access, pursue legal action, and claim damages. Parents/guardians indemnify minors’ unauthorized use.
2. User Obligations
Strict Compliance:
- Provide accurate, current, and complete information during registration.
- Use strong passwords (8+ characters, multi-factor authentication).
- Immediately report breaches to support@cruxhr.com.
Prohibited Activities:
Security Violations:
- Hacking, phishing, SQL injection, DDoS attacks, or reverse-engineering.
- Penalty: ₹10 Crore + damages under Sections 43, 66, and 66B of the IT Act, 2000.
IP Theft:
- Unauthorized use of code, algorithms, or branding.
- Penalty: ₹10 Crore + damages under Sections 43, 66, and 66B of the IT Act, 2000.
Illegal Content
- Uploading fake HR/financial data or discriminatory job postings.
- Penalty: Account termination + ₹5 Crore fine under IT Rules, 2021.
3. Intellectual Property (IP)
Ownership:
- All code, AI models, UI/UX designs, and content are exclusively owned by CruX HR.
- Users grant CruX HR a perpetual, royalty-free license to anonymized data for AI training.
Enforcement
- Reverse-engineering or scraping APIs incurs ₹10 Crore + punitive damages.
- Injunctions: Immediate court orders under Section 14 of the Specific Relief Act, 1963.
4. Payment & Refunds
Non-Negotiable Fees:
- Subscriptions auto-renew unless cancelled 7 days before billing.
- No refunds except under Consumer Protection Act, 2019.
GST Compliance:
- 18% GST applies; invoices reflect Indian tax laws.
5. Service Disclaimers
No Warranties:
- Platform provided “as-is”. CruX HR disclaims accuracy, uptime, or fitness for purpose.
- AI Limitations: Recruitment/HRMS predictions are probabilistic, not guarantees.
Third-Party Risks:
- CruX HR is not liable for breaches by payment gateways (Razorpay) or cloud providers (AWS).
6. Liability Limitations
Cap on Damages:
- Liability limited to ₹1 lakh or 1 month subscription fees, whichever is lower.
- Excludes willful misconduct or gross negligence by CruX HR.
Force Majeure:
- Not liable for outages due to cyberwarfare, pandemics, or government actions.
7. Data Protection
DPDPA, 2023 Compliance:
- Data encrypted (AES-512) and stored in AWS Mumbai.
- Breach notification within 72 hours to CERT-In and users.
User Consent:
- By using the Platform, you consent to data practices in our Privacy Policy.
8. Dispute Resolution
Mandatory Arbitration:
- Disputes resolved under Arbitration and Conciliation Act, 1996 (venue: Bengaluru).
- No class actions permitted.
Governing Law:
- Indian law; exclusive jurisdiction in Bengaluru courts.
9. Amendments
- Changes effective immediately upon posting. Continued use = acceptance.
- Material changes (e.g., fees, data use) notified via email + in-app alerts.
10. Indemnification
- You agree to indemnify, defend, and hold harmless CruX HR against:
- Third-party claims from your breach of these Terms.
- Legal fees, fines, or reputational harm due to your actions.
11. Severability
- If any clause is unenforceable, the rest remain binding.
